Panter General Terms & Conditions

1 Scope of application and coverage
1.1 These general terms and conditions apply to natural persons ("Users") who create a user account (the "Account") on or otherwise use Panter's system (the "Service"), which is provided through systems and applications and includes services provided from time to time by Planeten Panter AB (reg. no. 559391-0499) ("Panter"). These general terms and conditions also apply to natural persons who use Panter's services in other ways than through the Service.
1.2 References in these general terms and conditions to "we", "us" or "our" refer to Panter.
1.3 When the User creates an Account or otherwise starts using the Service and thereby accepts these general terms and conditions, the User enters into an agreement (the "Agreement") with Panter. The use and/or login means that the User gains access to the Service and accepts these terms and conditions. The User may also receive information about special conditions in connection with the purchase or use of Panter's services. These special conditions are stated in written communication with Panter, or in other documents, and form part of the Agreement.
1.4 The conditions apply to the services provided by Panter from time to time (the "Service"), including:

2 General about the Account and the Platform
2.1 The User gains access to the Service via Panter's website or web application or via the website of one of Panter's partners or customers. On the websites/web application, the User can create the Account. The Account is created when the User uses the Service and registers and provides payment information. Users of the Service must be at least 18 years old and have legal capacity.
2.2 The User is responsible for the use of the Account. An Account may only be used by the User and may not be transferred, lent or granted to any other natural or legal person. Nor may the User circumvent, remove, change or otherwise affect the technology and/or security system that Panter uses to protect the Service.
2.3 The User is responsible for ensuring that the Account is used in accordance with the Agreement, other terms and conditions applicable to any part of the Service, and applicable law. The User is responsible for the content of the information provided when using the Service.
2.4 By entering into the Agreement, the User confirms and accepts the technical specifications, conditions and limitations of the Service and the service and product descriptions specified from time to time.
2.5 Panter is not responsible for content linked to or from www.panter.se or app.panter.se.
3 Use of the Service
3.1 To use the Service, you need to register an account in Panter's web app. You must follow the instructions provided during the registration process and provide correct information. Without proper registration, you may not use the Service. You may only register one user account and may only make one registration. If you become aware that there is a risk that someone else is using your registration, or is able to use your registration, you should inform Panter as soon as possible.
3.2 Panter offers you the opportunity to borrow Panter's reusable packaging at a place that serves food and/or print, such as a restaurant, food truck or similar. In order to be able to use the Service, you need to register an account and provide a valid payment solution such as a credit card.
3.3 Borrowing Panter's reusable packaging is free of charge for the period specified at the time of borrowing. The packs can be returned to any of the restaurants, cafés or return stations shown in the web application.
3.4 When returning a package, the QR code of the return station and the package must be scanned to generate a return receipt.
4 Responsibilities when using the Service
4.1 Panter's reusable packaging may only be used to store food or drink.
4.2 The User is responsible for returning the packaging on the specified due date. Return must take place at one of the locations indicated in the online application. A reminder fee and a late fee will be charged to the User in the event of late and/or non-return.
4.3 The User is responsible for not causing unnecessary wear and tear or damage to the packaging.
5 Panter's responsibility
5.1 The Agreement applies to Panter and not to any other legal or natural person associated with Panter. No one other than Panter is therefore liable for the services provided by Panter.
5.2 Panter is only liable for direct damage caused by Panter through errors or omissions related to Panter's provision of the Service. The liability is limited to SEK 10,000.
5.3 Panter is only liable for direct and actual damage suffered by the User. The amount Panter is liable to compensate shall be reduced by the amount to which the User is entitled, and thus claims from insurance or agreements that the User has taken out or that the User is otherwise covered by.
6 Payment and termination
6.1 The late fee can be a maximum of SEK 100 per package. All prices are stated including VAT and in Swedish kronor (SEK).
6.2 You must provide Panter with information and details linked to a valid credit or debit card or other payment method to register for use of the Service. of the Service. You confirm that you are authorized to use each credit or debit card or other agreed payment method that you provide. You authorize Panter to charge the credit card, debit card or other agreed payment method the fees specified in these terms and conditions or in the web application that you have incurred in connection with your use of the Service.
6.3 In order to dispute a fee or payment charged by Panter, you must contact Panter within a reasonable time from the date of the charge and provide all information that Panter deems necessary.
6.4 The account is closed by the User via the web application. The account can only be terminated if all packages lent via the account have been properly returned.
6.5 Panter is always entitled to terminate the Agreement with immediate effect if the User breaches or can be assumed with probable cause to breach the Agreement and if the User does not take corrective action within 30 days of written notice.
7 Intellectual property rights
7.1 The User may not dispose of material that the User gains access to through the Service in violation of copyright legislation, other applicable legislation or the Agreement. This means, among other things, that the User may not distribute or copy the material, make it available to the public or use the material for commercial purposes.
7.2 Ownership, copyright and all other rights to the Panter brand and the Service belong to Panter. The User acknowledges and accepts that unauthorized use of Panter's intellectual property rights may, in addition to constituting a breach of the Agreement, be criminal. In case of unauthorized use, Panter reserves the right to take legal action.
8 Deletion of an account
8.1 Upon termination of the Account, the Account is deleted. After the Account is closed, Panter has no responsibility for, or ability to save, recreate or otherwise provide information about the content that previously existed.
8.2 Panter reserves the right to anonymize and save the data for its own purposes and to comply with legal obligations.
9 Unauthorized use
9.1 Panter takes seriously any use of the Service that is contrary to the Agreement or applicable law.
9.2 Panter reserves the right to at any time, without liability for any consequences and without any obligation to refund paid compensation, suspend the User or take other measures as a result of the User acting in violation of the Agreement, applicable law, or if it is otherwise deemed necessary to protect Panter's interests.
9.3 In the event that the User violates the Agreement or applicable law, the User is obliged to compensate and hold Panter harmless from all damage caused by the User.

10.1 Information about Panter's processing of personal data can be found in our Privacy Policy.
11 Changes to the Service
11.1 Panter reserves the right to change and develop the content, scope and function of the Service, which may affect the Agreement. The changes that Panter considers to be of significant importance to the User will be communicated via web application and/or e-mail.
12 Force Majeure
12.1 Panter does not compensate for damage as a result of strikes, fire, the exercise of authority, labor disputes, accidents, errors or delays by subcontractors, downtime in public communication systems or other circumstances beyond Panter's control that Panter cannot reasonably be expected to anticipate and whose consequences Panter could not reasonably avoid or overcome.
13 Messages and mailings
13.1 When creating a user account, the User shall provide the e-mail address to which the User wishes Panter to send confirmations, reminders and other messages.
13.2 Messages from Panter to the User shall be deemed to have been received by the recipient;
if sent by e-mail or post, when the message is sent,
if sent by registered letter, two working days after delivery by post; or,
if delivered by courier, upon delivery.
14 Availability
14.1 The web application is available around the clock, every day of the year. Panter reserves the right to shut down the web application or part of the web application for a limited time in the event of updates or maintenance.
15 Disputes and applicable law
15.1 The user always has the right to turn to the National Board for Consumer Disputes. More information about the National Board for Consumer Disputes and contact details can be found at www.arn.se.
15.2 Disputes arising from this agreement shall be finally settled by arbitration in accordance with the Rules for Simplified Arbitration of the Arbitration Institute of the Stockholm Chamber of Commerce. The seat of the arbitration shall be Stockholm. Swedish law shall apply to the dispute.
16 Amendments to the agreement
16.1 Panter has the right to make changes to the Agreement. New versions of the Agreement shall be published on app.panter.se. The new version of the Agreement shall apply from the date stated in the new version.
